Terms and Conditions

Please read these Terms and Conditions carefully before using the Mzadat platform. By using the Platform, you agree to be bound by these Terms.
1. Definitions
- "Platform" or "Website" refers to the Mzadat electronic platform (website and mobile applications) through which auctions are displayed, managed, and conducted.
- "Company" or "Mzadat" refers to Mzadat Company, the entity that owns and operates the Platform, registered under the laws of the Sultanate of Oman.
- "Customer" or "Seller" refers to any person, company, or entity offering products, assets, or property for sale via electronic auction on the Platform.
- "Bidder" or "Buyer" refers to any person or company that registers on the Platform to participate in auctions by placing bids on listed items.
- "Auction" refers to the electronic process by which a product or asset is offered for competitive bidding among multiple registered participants, with the highest qualifying bidder winning the right to purchase.
- "Deposit" refers to the refundable or non-refundable monetary amount required to be paid by the Bidder prior to participation in an auction, as specified for each auction.
- "Winning Bidder" refers to the Bidder who places the highest accepted bid at the conclusion of the auction and whose purchase is approved by the Seller.
2. Registration and Use of the Platform
- All users must register by providing accurate, complete, and current information, including but not limited to: full legal name, national ID or commercial registration number, valid mobile phone number, and email address. Providing false, misleading, or incomplete information constitutes a material breach of these Terms.
- By registering, the Bidder expressly represents and warrants that all provided information is truthful and accurate. The Bidder assumes full legal and financial responsibility for any consequences arising from providing false, fraudulent, or misleading information.
- Users must be at least 18 years of age or the legal age of majority in their jurisdiction. By using the Platform, users confirm they have the legal capacity to enter into binding contracts.
- The Bidder is solely responsible for maintaining the confidentiality and security of their login credentials (username and password). The Bidder is fully liable for all activities, bids, purchases, and transactions conducted under their account, whether authorized or unauthorized.
- Mzadat reserves the absolute right to suspend, restrict, or permanently terminate any account that provides false information, engages in fraudulent activity, violates these Terms, or is deemed harmful to the integrity of the Platform or other users, without prior notice and without liability.
- Mzadat may, at its sole discretion, require additional verification documents (such as ID copies, proof of address, or commercial licenses) before approving registration or allowing participation in specific auctions.
- Each user may maintain only one (1) active account. Creating multiple accounts to circumvent restrictions, manipulate bidding, or for any other purpose is strictly prohibited and will result in immediate permanent ban of all associated accounts and forfeiture of all deposits.
3. Bidding System and Auction Rules
- Bidding commences at the starting price determined jointly by the Customer (Seller) and Mzadat. All starting prices are final and non-negotiable once the auction is published.
- All bidding is conducted electronically through the Platform in a transparent manner. Every bid is automatically and irrevocably recorded with a timestamp. Once placed, a bid cannot be withdrawn, retracted, or modified under any circumstances.
- Anti-Sniping Policy: If a bid is placed within the final two (2) minutes of the auction closing time, the auction duration will be automatically extended by two (2) additional minutes from the time of that bid. This extension process repeats each time a new bid is placed within the extended period until no further bids are received.
- The specified deposit amount for each auction must be paid in full before the Bidder is permitted to participate. No bids will be accepted from Bidders who have not paid the required deposit.
- The sale of any item shall not be finalized or approved until the Customer (Seller) has expressly approved the sale. The highest bid does not automatically constitute a completed sale.
- Bid manipulation, collusion, shill bidding (bidding on your own items or coordinating with others to artificially inflate prices), or any form of auction fraud is strictly prohibited and will result in immediate account termination, forfeiture of all deposits, and may be referred to law enforcement authorities.
- Mzadat reserves the right to void any bids that it reasonably suspects to be fraudulent, erroneous, or placed in violation of these Terms.
4. Deposits, Guarantees, and Financial Obligations
- Each Bidder is required to pay the specified deposit amount before entering any auction. The deposit serves as a guarantee of the Bidder's seriousness, financial capability, and commitment to comply with these Terms and complete the purchase if declared the Winning Bidder.
- If the Winning Bidder fails to pay the full remaining amount within three (3) business days from the invoice date, the transaction shall be automatically cancelled and the ENTIRE deposit amount shall be irrevocably forfeited. This forfeiture constitutes agreed-upon liquidated damages and pre-estimated compensation for losses incurred by Mzadat and the Seller, including but not limited to administrative costs, lost opportunity costs, and potential reduction in item value.
- The security deposit shall NOT be refunded if the loading site (yard) is not cleaned or if waste, debris, or materials are left behind after receiving the purchased items. The Winning Bidder is responsible for leaving the site in the same condition as received.
- A penalty of OMR 20 (twenty Omani Rials) per day shall be deducted from the security deposit if the Winning Bidder delays transporting or collecting the purchased materials beyond the specified collection period. If the accumulated penalties exceed the deposit amount, the Winning Bidder shall be liable for the excess amount.
- No product, item, or asset shall be delivered or released to the Buyer until full payment has been confirmed and verified by Mzadat.
- The Buyer bears all costs associated with shipping, transportation, loading, receiving, and any related logistics. Mzadat shall not be responsible for any such costs unless explicitly stated otherwise in the auction listing.
- Mzadat reserves the right to pursue all available legal remedies against defaulting Bidders, including but not limited to: blacklisting from future auctions, legal proceedings for damages, and reporting to relevant authorities.
5. Fees, Commissions, and Taxes
- Mzadat charges an administrative fee for each auction, which is deducted from the final auction price. The applicable fee structure is disclosed prior to auction commencement.
- A brokerage commission is collected from the Buyer according to the specified and agreed-upon percentage as displayed on the auction listing. This commission is non-negotiable and due upon completion of the sale.
- Applicable taxes, customs duties, VAT, or any government-imposed levies on items being sold are the sole responsibility of the Buyer unless explicitly stated otherwise. Mzadat makes no representations regarding the tax implications of any purchase.
6. Warranty, Condition of Items, and Limitation of Liability
- ALL ITEMS ARE SOLD "AS IS, WHERE IS" — without any warranty, guarantee, or representation of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
- Neither Mzadat nor the Seller shall be liable for the condition, quality, authenticity, legality, functionality, fitness, safety, or suitability of any item offered for auction. Bidders are strongly advised and expected to thoroughly inspect items before registering for the auction.
- Neither Mzadat nor the Seller shall be responsible for any fees, fines, penalties, liens, encumbrances, or obligations that may be imposed on or associated with the auctioned items, whether existing at the time of sale or arising thereafter.
- To the maximum extent permitted by law, Mzadat's total aggregate liability for any claims arising from or related to the use of the Platform or any auction shall not exceed the amount of the deposit paid by the Bidder for the specific auction in question.
- In no event shall Mzadat be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, business interruption, or loss of data, arising from the use of the Platform.
7. Vehicle Ownership Transfer
- Where the auction includes vehicles, the Winning Bidder must complete all ownership transfer procedures within a maximum of fifteen (15) business days from the date of vehicle receipt. Failure to do so may result in additional penalties and legal action.
- The Winning Bidder shall bear and pay all government fees, registration fees, and any other costs due for the transfer of ownership. Mzadat shall facilitate the process by providing the required paperwork and documentation.
- Mzadat assumes NO responsibility whatsoever for the vehicle after delivery, including but not limited to its mechanical condition, technical specifications, legal status, roadworthiness, mileage accuracy, or history. The Winning Bidder accepts the vehicle entirely "AS IS."
- The Buyer may be required to sign additional legally binding documents to formalize the sale and transfer of ownership. Refusal to sign such documents may result in forfeiture of the deposit and cancellation of the sale.
8. Mzadat Company Powers and Rights
- Mzadat reserves the absolute and unconditional right to cancel, suspend, extend, or modify any online auction at any time and for any reason, including but not limited to: technical difficulties, organizational circumstances, security concerns, suspected fraud, or at the request of the Seller.
- Mzadat has the right to reopen any auction, re-list the item, or conduct a new auction at a later time if it determines, at its sole discretion, that the auction conditions were unsuitable, that violations affecting fairness occurred, or that the integrity of the auction was compromised.
- Mzadat reserves the right to amend, update, or modify these Terms and Conditions at any time without prior notice. Continued use of the Platform after any changes constitutes acceptance of the modified Terms.
- Mzadat may use automated systems, algorithms, and monitoring tools to detect and prevent fraud, bid manipulation, and other violations of these Terms.
9. Seller (Customer) Powers and Rights
- The Seller has the right to reject the auction result if the bids do not reach the minimum reserve price (secret minimum) previously set by the Seller, provided this rejection occurs before the final sale is confirmed and completed.
- The reserve price must be determined and communicated to Mzadat in advance at the time of item submission. Mzadat is obligated not to approve or finalize any sale if the reserve price has not been reached.
- The Seller is responsible for providing accurate and truthful descriptions and disclosures about the items being auctioned. Intentional misrepresentation may result in the Seller being held liable for damages to the Buyer.
10. Dispute Resolution and Governing Law
- In the event of any dispute between Bidders, between the Bidder and the Seller, or between any party and Mzadat, the parties shall first attempt to resolve the matter through good-faith direct negotiation within thirty (30) days.
- If an amicable resolution cannot be reached, the matter shall be referred to the competent courts in the Sultanate of Oman for final adjudication in accordance with applicable Omani laws and regulations.
- Mzadat reserves the right to temporarily or permanently suspend the accounts of all parties involved in a dispute until the matter is fully resolved, without liability for any losses or damages resulting from such suspension.
- These Terms and Conditions are governed exclusively by the laws of the Sultanate of Oman. Any legal proceedings shall be conducted in Arabic, and the Arabic version of these Terms shall prevail in case of any discrepancy with translations.
- By using the Platform, all users irrevocably submit to the exclusive jurisdiction of the courts of the Sultanate of Oman and waive any objections to such jurisdiction or venue.
11. General Provisions
- These Terms constitute the entire agreement between the user and Mzadat regarding the use of the Platform and supersede all prior agreements, understandings, and communications.
- If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
- The failure of Mzadat to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Mzadat may assign or transfer its rights and obligations under these Terms to any third party without the user's consent. Users may not assign their rights or obligations without prior written consent from Mzadat.
- By registering on or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions in their entirety.
By using the Mzadat platform, you acknowledge that you have read, understood, and agreed to all the Terms and Conditions stated above. If you do not agree with any of these Terms, please do not use the Platform.
